Terms of Use, Licensing, & Ordering Agreement

By requesting art, receiving art or purchasing from HighSchoolBlanket, Spectator Sport or Spectator Blanket you agree to the following terms and conditions. These terms protect our intellectual property, ensure proper use of our designs, and outline our ordering policies.

Terms of Designs and Artwork Use
Welcome to Spectator Sport. By accessing or purchasing our custom template designs through HighSchoolBlanket, you agree to the following terms and conditions. These terms are designed to protect our intellectual property and ensure fair use of our designs.

1. Ownership and Intellectual Property

 

All designs, templates, and artwork displayed or sold by Spectator Sport through HighSchoolBlanket are the exclusive property of

HighSchoolBlankets.com and Spectator Sport. Any unauthorized use, reproduction, or distribution is strictly prohibited. Spectator Sport actively enforces its intellectual property rights and reserves the right to pursue legal remedies against anyone who infringes on our designs, templates, or artwork.

2. Permitted Use


Individuals who request artwork or purchase a blanket or product are granted a non-exclusive, non-transferable license to use the design for personal or institutional purposes. This includes:

  • Schools, teams, and organizations may customize the template with their own logos.

  • The design may be used for approved merchandise, marketing materials, or internal use.

  • The design may be printed on our physical products such as blankets, apparel, or banners.
     

3. Prohibited Use

You may not:

  • Resell, redistribute, or sublicense our templates or designs in any form.

  • Share, copy, or distribute the digital files to third parties.

  • Modify and claim the design as your own.

  • Use our designs to create competing products or offer them for commercial resale.

  • Use our designs with any other business for production of additional blankets, apparel, or merchandise.

If we discover that our designs have been copied, altered, or resold without permission, we reserve the right to take legal action.

4. Copyright Protection and Enforcement
All templates and designs are protected under U.S. copyright law. Unauthorized reproduction or commercial use without written permission is prohibited. If you suspect a violation, please report it through our website.

5. Agreement Acceptance


By purchasing or using any design, product, or apparel from Spectator Sport or HighSchoolBlankets, you acknowledge and agree to these terms.

Terms of Sale of Goods.

6. Sale of Goods


This signed order form constitutes a binding agreement (Agreement) between Spectator Blankets II, LLC (Seller) and the school or organization (Buyer). The Seller shall sell to the Buyer, and the Buyer shall purchase from the Seller, the goods referenced on the order form at the quantities and prices listed. Buyer is responsible for taxes, shipping, and any related third-party fees.

7. Authority


Each person signing this Agreement affirms they are authorized to execute it on behalf of the referenced school or organization.

8. Artwork Approval and Customer Responsibility


Prior to production, the customer receives a Signature Approval Form (Graphic Authorization Form) for final review. It is the customer’s responsibility to carefully inspect all artwork including spelling, colors, graphics, placement, and resolution before signing. Once the form is signed and production begins, no changes can be made. If artwork has not yet been sent to the factory, conditional changes may be possible with a $200 file correction fee applied. HighSchoolBlanket / Spectator Sport is not liable for perceived errors, dissatisfaction, or claims arising from misspellings, color variations, graphics, or resolution issues. Customers should reference the Pantone Solid Coated guide to verify colors, as screen colors may not be accurate. While we make every effort to match Pantone selections, slight shade shifts may occur due to the CMYK printing process.

9. Order and Payment


Upon Buyer’s execution of this Agreement, Seller immediately begins designing and producing samples of the goods and incurs material costs. All sales are final and non-refundable. Payment is due according to the option selected by the Buyer. If payment is not made within ten (10) days, a 5% delinquency charge will apply.

10. Factory Re-Orders and Batch Orders


Reprint production and batch orders may vary slightly in color, texture, and material weight due to normal manufacturing adjustments and the CMYK print process. Color variations can occur due to heat, humidity, temperature changes, and equipment calibration. While we will make every reasonable effort to match previous production runs, slight shade shifts or texture differences between the original batch and subsequent reorders are possible. HighSchoolBlanket is not liable for perceived errors, dissatisfaction, or claims arising from standard color variation, texture changes, visual or physical batch differences, or manufacturing tolerances in final products.

11. Use of Trademarks and Product Display


We may showcase products created for a buyer’s organization, school, or business, including their logos or trademarks. These products may appear on our website, emails, or advertising. All logos and trademarks remain the property of their respective owners and are used with permission granted through the signed order form. Their use does not imply affiliation, endorsement, or sponsorship.

12. Graphic Authorization and Resale Rights


By signing the Graphic Authorization Form, the customer grants Spectator Blanket, HighSchoolBlanket, and Spectator Sport the right to reproduce the approved artwork solely for production of the specified order. Unless otherwise agreed in writing, any unclaimed overruns or excess inventory bearing the approved design may be resold, donated, or repurposed by Spectator Blanket after 90 days. If the artwork includes copyrighted or trademarked material, the customer confirms they have the authority to grant these rights.

13. Disclaimer of Warranty and Due Diligence


Goods are sold “as is.” Seller disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. Buyer acknowledges they have relied solely on their own investigation and had full opportunity to inspect.

14. Limitation of Actions


No legal action arising from this Agreement may be brought against Seller more than 12 months after the basis for the claim could reasonably have been discovered.

15. Limitation of Liability


Seller is not liable for any indirect, special, consequential, or punitive damages. Liability is limited to the amount paid by Buyer for the goods giving rise to the claim.

16. Recovery of Expenses


In any legal proceeding, the prevailing party is entitled to recover legal fees and expenses.

17. Delivery, Delay, and Risk of Loss


Seller does not guarantee delivery dates and is not responsible for delays caused by material shortages, customs, or other unforeseen events. Buyer may not cancel due to delays or partial shipments.

18. Shipping Disclaimer


HighSchoolBlanket is not responsible for shipping delays, loss, or damage once the order leaves our facility. Claims should be filed directly with the shipping carrier.

19. Force Majeure


HighSchoolBlanket is not liable for delays or inability to fulfill orders due to circumstances beyond our reasonable control, including natural disasters, acts of God, labor disputes, or government actions.

20. Governing Law and Forum


This Agreement is governed by Utah law. Both parties consent to the exclusive jurisdiction of courts in Salt Lake County, Utah.

21. Dispute Resolution


Any disputes arising from this Agreement should first be submitted in writing to HighSchoolBlanket. Parties agree to attempt to resolve disputes in good faith before pursuing legal action.

22. Entire Agreement


This Agreement contains the full understanding between the parties. Any amendments must be in writing and signed by both parties.

Additional Information

Spectator Blanket manufactures each wholesale order based on customer-approved specifications. While we work with non-profits and educational institutions for fundraising, we are not a professional fundraising company. All fundraising activities are the responsibility of the customer.
 

Privacy and Data Use


Any personal information collected during order processing is used solely for the purpose of fulfilling orders and providing customer service. HighSchoolBlanket does not share customer information with third parties except as necessary to fulfill orders or comply with legal obligations.

Spectator Blanket manufactures each wholesale order specific to customer authorized design specifications. Although Spectator Blanket manufactures for non profits, educational institutions, charities and other cause driven campaigns who may use our products to "raise funds" or resale at retail, customers do so at their own discretion. Spectator Blanket is NOT a professional fundraising company, fundraising consultant or counselors. We do not solicit donations for the cost of manufacturing on behalf of customers.
